These Terms & Conditions ("Terms") govern your access to and use of the Joxy.ai platform, website, and all related services (collectively, the "Service") provided by Joxy AI Ltd ("Joxy", "we", "us").
By creating an account, clicking "Get started", or otherwise accessing the Service, you confirm that you have read, understood, and agree to these Terms. If you are using Joxy on behalf of a business, you represent that you have authority to bind that business to these Terms.
If you do not agree to these Terms, do not use the Service.
Joxy provides an AI agent platform that helps entrepreneurs automate business functions including but not limited to marketing, advertising, email campaigns, customer support, and business intelligence.
We reserve the right to modify, suspend, or discontinue any part of the Service at any time. We will provide reasonable notice of significant changes. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Service.
Joxy agents act on your instructions. You are responsible for reviewing agent actions before they are executed and for the outcomes of any automations you authorise.
To use Joxy, you must create an account. You agree to:
Accounts are personal and non-transferable unless explicitly permitted in a separate written agreement. You may not share your login credentials with others.
During our early access period, accounts require an invitation token. We reserve the right to refuse, suspend, or terminate accounts at our discretion.
You agree to use Joxy only for lawful purposes and in compliance with these Terms. You must not:
Violation of these terms may result in immediate account suspension or termination.
Free trial: We offer a 3-day free trial for new accounts where a credit card is provided. You will not be charged if you cancel before the trial period ends.
Subscription plans: After the trial, access to the Service requires a paid subscription. Fees are billed in advance on a monthly or annual basis, depending on your selected plan.
Payment: All payments are processed by Stripe. By providing payment information, you authorise Stripe to charge your payment method on a recurring basis. Joxy never stores your full card details.
Cancellation: You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. We do not offer prorated refunds for partial months, except where required by law.
Price changes: We may change subscription pricing with 30 days notice. Your continued use after the effective date constitutes acceptance of the new pricing.
Taxes: Prices are exclusive of applicable taxes. You are responsible for any taxes applicable to your subscription in your jurisdiction.
Joxy and its licensors own all rights, title, and interest in the Service, including the software, AI models, design, trademarks, and documentation. These Terms do not grant you any ownership rights in the Service.
You are granted a limited, non-exclusive, non-transferable, revocable licence to use the Service for your own business purposes during your subscription term.
Your content: You retain full ownership of any content, data, or materials you upload or create within the Service ("Your Content"). You grant Joxy a limited licence to process Your Content solely to provide and improve the Service for your account.
We treat your data with care. Our full data practices are described in our Privacy Policy, which is incorporated into these Terms by reference.

To the maximum extent permitted by law, Joxy AI Ltd, its directors, employees, and affiliates shall not be liable for:
Our total aggregate liability to you for any claims arising from these Terms or the Service shall not exceed the greater of (a) the total fees you paid to Joxy in the three months preceding the claim, or (b) £100 GBP.
Some jurisdictions do not allow limitation of liability for certain damages; in such cases, our liability is limited to the maximum extent permitted by law.
You agree to indemnify, defend, and hold harmless Joxy AI Ltd and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with:
By you: You may stop using the Service and cancel your subscription at any time from your account settings.
By Joxy: We may suspend or terminate your account immediately, without notice or liability, if you materially breach these Terms, engage in fraudulent or illegal activity, or pose a risk to our platform or other users.
Upon termination, your right to access the Service ceases immediately. Sections on intellectual property, limitation of liability, indemnification, and governing law survive termination.
These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law provisions.
Any disputes arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
If you are a consumer in a jurisdiction that requires local law to apply, those mandatory protections are not excluded by these Terms.
